BY ACCESSING, BROWSING, OR USING THE WEBSITE OR PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS, TOGETHER WITH OUR PRIVACY POLICY, WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
Compact Machines utilizes proprietary AI infrastructure, domain-specific Small Language Models (“SLMs”), and the Compact Machines Architecture (collectively, the “Technology”), all of which are owned exclusively by Compact Machines Inc. (“Compact Machines”) and licensed to Compact Machines Inc. (“Compact Machines”) for operation. These Terms govern your (“User,” “You,” or “Your”) access to and use of the Site and Platform. “Compact Machines,” “We,” “Us,” or “Our” refers to Compact Machines Inc., and “Compact Machines” refers to the infrastructure provider and intellectual-property owner.
You may browse certain portions of the Site without registering; however, full access to the Platform requires a registered account in good standing. By accessing or using Compact Machines, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and, where you are acting on behalf of an organization, you are duly authorized to use the Platform on its behalf and to bind that organization to these Terms. If you use the Platform on behalf of a business or other legal entity, you acknowledge and agree that you have such authority and that you are personally bound by these Terms in addition to the entity you represent.
By using the Platform, you consent to receiving communications electronically, including email, notices, and updates.
Changes To Terms
Compact Machines may update, revise, or modify these Terms at any time in its sole discretion. Any changes will become effective immediately upon posting to the Site, unless otherwise stated. Your continued access to or use of the Platform after any such updates constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
Account and Registration Obligations
To access certain features of the Platform, you may be required to create an account and provide accurate, current, and complete information during the registration process. You agree to update your information as necessary to ensure it remains accurate and complete. You are solely responsible for maintaining the confidentiality of your login credentials, and for all activities that occur under your account, whether authorized or unauthorized. If you believe your account has been compromised, you must notify Compact Machines immediately. Compact Machines reserves the right to suspend, restrict, or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms, provided false information, engaged in unauthorized activity, or otherwise pose a risk to the Platform or its users. You may not create an account using the identity or information of another person or entity without proper authorization.
User Responsibilities
You agree to use the Platform in compliance with all applicable laws, regulations, and industry standards. You are responsible for the accuracy, quality, integrity, and legality of any data, documents, or materials you upload, submit, or otherwise provide through the Platform (“User Content”). You agree not to use the Platform for any unlawful, fraudulent, harmful, or unauthorized purpose and acknowledge that you are solely responsible for any decisions or actions taken based on information or outputs derived from the Platform. You must ensure that any User Content does not violate the rights of any third party, including privacy, confidentiality, or intellectual property rights.

Compact Machines may monitor Platform usage to ensure compliance and may suspend or terminate access for violations of this Acceptable Use Policy.
Data Ownership & Permissions
You retain all right, title, and interest in and to the User Content you upload or provide through the Platform. By submitting User Content, you grant Compact Machines a non-exclusive, worldwide, royalty-free, revocable license to access, use, process, store, and transmit such content solely for the purpose of operating, maintaining, securing, and improving the Platform and providing services to you. Compact Machines does not claim ownership of User Content and does not use User Content to train general-purpose AI models. All underlying Technology, including the Compact Machines Architecture and SLM infrastructure, remains the exclusive property of Compact Machines Inc.
Confidentiality
Each party agrees to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed by the other party (“Confidential Information”). Compact Machines will only access or use your Confidential Information as necessary to operate the Platform, provide services, comply with legal obligations, or prevent fraud, security breaches, or misuse. Compact Machines will implement commercially reasonable administrative, technical, and organizational measures designed to protect Confidential Information from unauthorized access, disclosure, or loss. Confidentiality obligations do not apply to information that (i) is or becomes publicly available through no fault of the receiving party, (ii) is independently developed without use of the other party’s Confidential Information, (iii) is lawfully obtained from a third party without breach of any confidentiality obligation, or (iv) must be disclosed under applicable law or court order, provided that the receiving party gives prompt notice where legally permissible.
Intellectual Property Rights
All rights, title, and interest in and to the Platform, the Technology, the Compact Machines Architecture, the SLMs, software, interfaces, designs, features, documentation, trademarks, logos, workflows, and all related intellectual property (collectively, “Compact Machines IP”) are and shall remain the exclusive property of Compact Machines Inc. or Compact Machines Inc., as applicable. No rights are granted to you except as expressly stated in these Terms. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for your internal business purposes and strictly in accordance with these Terms. You may not copy, reproduce, modify, distribute, display, or create derivative works of Compact Machines IP without prior written consent. All rights not expressly granted are reserved.
Subscription Fees & Payment Terms
Access to certain features of the Platform may require payment of subscription fees or other charges. By subscribing or purchasing access, you agree to pay all applicable fees in the amount, currency, and schedule specified at the time of purchase. Fees are non-refundable unless expressly stated otherwise. Subscriptions may renew automatically unless you cancel prior to the renewal date. You authorize Compact Machines to charge your provided payment method for all recurring fees unless you update or cancel your subscription in accordance with our procedures. Compact Machines may modify its pricing or fee structures at any time, with notice provided in accordance with applicable law. Failure to pay fees when due may result in suspension or termination of your account. Compact Machines may only increase fees with at least sixty (60) days’ prior written notice (email sufficient) before your next renewal date. Any price increase will not exceed ten percent (10 %) per year above the then-current fees unless you agree otherwise in writing.
Service Level & Availability
Compact Machines targets 99.8 % monthly uptime for the Platform, excluding scheduled maintenance announced at least 48 hours in advance. If uptime falls below 99.8 % in any calendar month, you are eligible for service credits equal to 10 % of that month’s fee (pro-rated) for each full 1 % below the target (up to 100 % of the annual fee).
Data Export & Portability
Upon termination or expiration of your subscription for any reason, you may request (within thirty (30) days) a complete export of all User Content and AI-generated outputs in an industry-standard format (e.g., ZIP archive). Compact Machines will deliver the export at no additional charge within fifteen (15) business days of your request.
Disclaimers & No Professional Advice
The Platform and all AI-generated outputs, insights, analyses, summaries, classifications, or recommendations (“Outputs”) are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. Compact Machines does not warrant that the Platform or Technology will be uninterrupted, error-free, secure, or free from defects. Outputs may contain inaccuracies, omissions, or inconsistencies and are intended for informational purposes only. Outputs do not constitute legal, financial, investment, accounting, tax, compliance, or professional advice. You acknowledge that decisions made based on Outputs or Platform data are made at your sole discretion and risk, and you are solely responsible for independently verifying all results before relying on them in any business or transactional context. To the maximum extent permitted by law, Compact Machines disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
AI Output & Limitations
Compact Machines’s Platform incorporates artificial intelligence, including domain-specific Small Language Models (“SLMs”) and automated reasoning systems. AI-generated outputs—including insights, summaries, recommendations, classifications, or document analyses—may contain inaccuracies, omissions, or inconsistencies and are provided for informational purposes only. Such outputs do not constitute legal, financial, investment, accounting, or professional advice. You are solely responsible for independently reviewing, verifying, and evaluating all AI-generated outputs before relying on them in any business, operational, legal, or transactional context, and Compact Machines disclaims all liability arising from any reliance placed on such outputs.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Compact Machines, Compact Machines, or their respective directors, officers, employees, contractors, or affiliates be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including but not limited to lost profits, lost data, business interruption, loss of goodwill, or damages arising from reliance on AI-generated Outputs, even if advised of the possibility of such damages. Compact Machines’s total aggregate liability for all claims arising out of or related to these Terms, the Platform, or the Technology shall not exceed the total amount paid by you to Compact Machines in the twelve (12) months preceding the event giving rise to liability. The foregoing limitations apply regardless of the legal theory asserted and whether the claim is based in contract, tort, negligence, strict liability, or otherwise. Some jurisdictions do not allow certain limitations of liability; in such cases, the limitations apply to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Compact Machines, Compact Machines, and their respective directors, officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of the Platform or Outputs; (ii) your breach of these Terms; (iii) your violation of any applicable law or the rights of a third party; (iv) User Content that you upload, provide, or process through the Platform; or (v) any misuse, fraud, negligence, or misconduct by you or under your account. Compact Machines reserves the right to assume exclusive control over the defense of any matter subject to indemnification, and you agree to cooperate fully with any such defense.
Compact Machines will defend and indemnify you against any third-party claim that the Platform itself (excluding User Content) infringes that third party’s intellectual property rights, provided you promptly notify Compact Machines and give Compact Machines sole control of the defense and any settlement.
Termination
Compact Machines may suspend or terminate your account or access to the Platform at any time, with or without notice, if we determine that you have violated these Terms, failed to pay fees when due, posed a security or operational risk, or engaged in fraudulent, harmful, or unlawful conduct. Upon termination, your right to use the Platform immediately ceases, and Compact Machines may disable or delete your account and associated data in accordance with our retention policies and applicable law. You may terminate your account at any time by contacting us or following the account-closure procedures. Termination does not relieve you of obligations to pay outstanding fees or limit Compact Machines’s rights or remedies arising from prior breaches.
Governing Law & Dispute Resolution
These Terms and any disputes arising from or relating to the Platform or your use thereof shall be governed exclusively by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively in the courts of the Province of Alberta, located in Calgary, Alberta, and you irrevocably submit to the jurisdiction of such courts. Compact Machines may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or prevent unauthorized use of the Platform.
Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy and any additional agreements explicitly referenced herein, constitute the entire agreement between you and Compact Machines regarding the Platform.
Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Assignment: You may not assign or transfer your rights or obligations under these Terms without Compact Machines’s prior written consent. Compact Machines may assign these Terms at any time to an affiliate or successor.
Waiver: No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.
Notices: Compact Machines may send notices via email, Platform notifications, or by posting on the Site.
